📄 Job Description
Legal Strategy & Risk Management
- Own and implement the company legal strategy in alignment with KAIO’s growth, product innovation, and jurisdictional expansion.
- Provide expert legal input to the KAIO CEO, Board, and other departments as requested.
- Report directly to the KAIO CEO on all legal and related matters.
- Maintain KAIO’s comprehensive legal risk register.
Governance, Compliance & Regulatory
- Lead regulatory engagement and ensure compliance across various jurisdictions (e.g., MAS and CIMA).
- Continuously monitor and adapt to emerging legal frameworks in crypto, RWA tokenization, and financial services.
- Manage licensing, filings (in collaboration with the operations team), and execute entity structuring based on strategic direction.
Commercial & Product Counsel
- Provide legal support for business development, partnerships, and procurement, including contract drafting and negotiation.
- Collaborate closely with Product, Engineering, and Marketing to ensure new launches and campaigns meet all compliance obligations.
- Draft and maintain standard Terms & Conditions, privacy policies, disclaimers, and customer agreements across KAIO products.
Corporate, Employment & IP
- Manage board governance, board and shareholder resolutions, and overall entity management.
- Oversee all employment law matters, including offer letters, severance, disputes, and independent contractor frameworks.
- Review, protect, and enforce KAIO’s intellectual property, including via trademarks, patents, and content licenses.
External Counsel & Legal Ops
- Lead relationships with external counsel and advisors; negotiate and manage fees.
- Maintain and optimize the legal operations system (contract lifecycle, document management, e-signature, etc.).
- Implement playbooks, templates, and approval workflows to streamline internal legal processes as requested.
Data Privacy & Security
- Collaborate with the group’s data protection officer to review and assess GDPR compliance, working closely with engineering/security on data governance policies.
Litigation & Crisis Management
- Manage any open disputes in collaboration with key stakeholders.
- Design crisis management plans in partnership with Comms and the Executive Team as requested.
Leadership, Culture & Ambassadorship

📌 Requirements
Experience & Background
- Qualified lawyer (common law or equivalent) with 8-12 years PQE, ideally combining law firm and in-house experience.
- Proven expertise in Web3, blockchain, or fintech sectors, with a focus on crypto regulation, RWA (Real-World Asset) tokenization, and/or digital asset compliance across multiple jurisdictions.
- Strong background in corporate governance, entity structuring, and cross-border legal management.
- Experienced in commercial contract drafting, tokenized product structuring, and advising on digital asset transactions and partnerships.
- Familiarity with data privacy (GDPR, PDPA), information security, and intellectual property issues in decentralized environments.
- Skilled at managing external counsel and developing legal operations systems to support scaling businesses.
